Terms and conditions.

These terms and conditions govern your use of this website, operated by norvelle technologies inc. They are written to be read. Using the site means you accept them.

1. Who we are and acceptance of these terms

This website (the "site") is operated by norvelle technologies inc. ("norvelle", "we", "us", "our"), a Canadian company. These terms and conditions (the "terms") govern your access to and use of the site.

By accessing or using the site, you accept these terms and agree to be bound by them. If you do not accept them, do not use the site. If you use the site on behalf of a clinic or other organization, you confirm that you have authority to accept these terms for that organization, and "you" includes it.

2. The website and the platform

The site is an informational and marketing website. It describes the norvelle platform, an electronic medical record and clinic operations platform for Canadian clinics.

Access to and use of the platform are governed by a separate subscription agreement and data processing agreement between norvelle and each clinic. Nothing on the site creates that relationship, forms part of those agreements, or grants any right of access to the platform. Descriptions of the platform on the site are general information only and do not form part of any contract for the platform.

3. No medical advice

Content on the site is general information about norvelle and its products. It is not medical advice, and it is not a substitute for the judgment of a qualified health professional. Nothing on the site creates a clinician-patient relationship between you and norvelle or anyone else.

If you are a patient, direct all questions about your care, your equipment, or your treatment to your clinic or health care provider. In an emergency, call your local emergency services.

4. Intellectual property

The site and everything on it (text, graphics, page designs, illustrations, photographs, screenshots, video, and code) are owned by norvelle or its licensors and are protected by Canadian and international copyright, trademark, and other intellectual property laws.

The norvelle name, the norvelle wordmark, the "n." icon, and the Norvey character are trademarks of norvelle technologies inc. You may not use them without our prior written consent.

We grant you a limited, revocable, non-exclusive, non-transferable licence to view the site and to print or save pages for your own personal or internal business reference. Any other use requires our prior written consent. In particular, you may not copy, reproduce, republish, distribute, sell, scrape, mine, frame, or create derivative works from the site or its content, and you may not use site content to train or tune machine learning models.

5. Acceptable use

You agree to use the site lawfully. You must not:

  • (a) interfere with or disrupt the operation of the site or the servers and networks that host it;
  • (b) probe, scan, or test the vulnerability of the site or any related system, or breach or attempt to breach any security or authentication measure, without our prior written authorization;
  • (c) misrepresent your identity or your affiliation with any person or organization, or submit false or misleading information through the site;
  • (d) use robots, spiders, crawlers, or other automated means to access the site or to harvest information from it, including email addresses and contact details; or
  • (e) introduce viruses or other malicious code.

We may suspend or block access to the site for conduct that violates this section, in addition to any other remedy available to us.

6. Forms and communications

The site includes forms you can use to contact us or book a demo, and, where offered, subscribe to email updates. Personal information you submit through those forms is handled as described in our privacy policy. Our cookie policy explains the cookies and analytics the site uses.

Where you opt in to commercial email from us, we send it in accordance with Canada's anti-spam legislation (CASL): every message identifies norvelle technologies inc., includes our mailing address, and contains an unsubscribe mechanism that we honour within 10 business days. You can withdraw your consent at any time.

Do not submit confidential information through the site. Above all, never submit patient health information through any form on this site. The site's forms are not a secure channel for health information. Clinics must never use marketing forms to send patient records, health card numbers, or any other patient identifiers. Clinics exchange that information with norvelle only through the platform and under the agreements that govern it.

7. Third-party links and content

The site may link to websites, content, or services operated by third parties. We provide those links for convenience. We do not control third-party sites, we do not endorse them, and we are not responsible for their content, their terms, or their privacy practices. You access them at your own risk and subject to their terms.

8. Disclaimer of warranties

We make reasonable efforts to keep the site accurate, current, and available. The site is nonetheless provided "as is" and "as available". To the extent permitted by applicable law, we make no representations, warranties, or conditions about the site, express or implied, including any implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the site will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the site or the servers that host it are free of harmful components. Content on the site may change or be removed without notice.

9. Limitation of liability

To the maximum extent permitted by applicable law, norvelle and its directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of, or inability to use, the site, even if we have been advised that those damages are possible. To the maximum extent permitted by applicable law, our total liability for all claims relating to the site will not exceed one hundred Canadian dollars.

Some jurisdictions, including Quebec in respect of consumers, do not allow certain exclusions or limitations of warranties or liability. Where applicable law does not permit an exclusion or limitation in these terms, that exclusion or limitation applies to you only to the extent the law allows. Nothing in these terms excludes or limits any liability that cannot be excluded or limited under applicable law.

10. Indemnity

You agree to indemnify norvelle and its directors, officers, employees, and agents against third-party claims, and the reasonable costs of responding to them, including legal fees, to the extent those claims arise from your unlawful use of the site or your breach of section 5. This indemnity does not apply to the extent a claim results from our breach of these terms or our own negligence.

11. Changes to these terms

We may update these terms from time to time. When we do, we will post the updated terms on this page and note when they take effect. For material changes, we will post a notice on the site. Your continued use of the site after updated terms take effect means you accept them. If you do not accept the updated terms, stop using the site.

12. Governing law and jurisdiction

These terms, and any dispute arising out of or relating to them or to the site, are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict of laws rules. You and norvelle attorn to the exclusive jurisdiction of the courts of the Province of Ontario. If you are a consumer in a province whose law gives you the right to bring proceedings in that province or the protection of its consumer protection legislation, nothing in this section takes that right away.
